1. Acceptance of Terms

By accessing or using the DonorSuite platform at donorsuite.cloud ("the Service"), you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

DonorSuite is a cloud-based donor management and fundraising platform designed for non-profit organizations. The Service includes donor relationship management, donation and pledge tracking, campaign management, event management, online donation processing, AI-assisted communications, and related features.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must promptly notify us of any unauthorized access to your account.
  • Each organization receives a unique subdomain (e.g., yourorg.donorsuite.cloud).
  • You may not create multiple accounts for the same organization to circumvent plan limits.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service for any activity that is not related to legitimate non-profit fundraising and donor management
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to access other organizations' data or bypass security controls
  • Use the Service to send unsolicited communications (spam)
  • Resell, sublicense, or redistribute access to the Service
  • Use automated tools to scrape or extract data from the platform
  • Misrepresent your identity or organizational affiliation

5. Data Ownership

Your organization retains ownership of all donor data, donation records, campaign information, and other content you upload or create using the Service. DonorSuite acts as a data processor on behalf of your organization. You are responsible for ensuring that your collection and use of donor data complies with applicable privacy laws and regulations.

6. Online Donation Processing

  • Online donations are processed through third-party payment gateways that you configure and maintain.
  • You are responsible for your relationship with the payment gateway provider, including fees, disputes, and compliance.
  • DonorSuite does not hold or transfer donated funds; all transactions flow directly through your payment gateway.
  • You must ensure your public donation pages accurately represent your organization and its tax-exempt status.
  • Donation receipts generated by the platform are provided as a convenience; you are responsible for ensuring they meet applicable tax receipt requirements.

7. AI-Generated Content

The Service offers AI-assisted features such as thank-you email generation. Content generated by AI is provided as a draft for your review and editing. You are responsible for reviewing, editing, and approving all AI-generated content before it is sent to recipients. DonorSuite is not responsible for the accuracy or appropriateness of AI-generated content.

8. Service Plans and Billing

  • The Service is offered in Free, Professional, and Enterprise tiers with different feature sets and limits.
  • Paid plans are billed monthly. You may cancel at any time.
  • We reserve the right to modify pricing with 30 days' advance notice to active subscribers.
  • If you exceed the limits of your plan (e.g., donor count), you may be required to upgrade.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for service interruptions caused by factors beyond our control.

10. Intellectual Property

The DonorSuite platform, including its design, code, features, and documentation, is the intellectual property of DonorSuite. Your use of the Service does not grant you any ownership rights in the platform. The DonorSuite name and logo are our trademarks.

11. Limitation of Liability

To the maximum extent permitted by law, DonorSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or donations, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold DonorSuite harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these terms or engage in activity that harms the Service or other users. Upon termination, your data will be retained for 90 days to allow for export, after which it will be permanently deleted.

14. Changes to Terms

We may update these Terms of Use from time to time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated terms.

15. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
